Welcome to INFITICS ("Company," "we," "our," or "us"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and INFITICS regarding your use of our software development services.

By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Agreement Formation

A binding agreement is formed when:

  • You submit a project request or inquiry
  • We provide a proposal or quote
  • You accept our proposal (verbally, in writing, or by payment)
  • We commence work on your project

Service Standards

Client Responsibilities

Information and Cooperation

To ensure successful project completion, you agree to:

  • Provide accurate, complete, and timely information
  • Respond to requests for clarification within agreed timeframes
  • Participate actively in project reviews and approvals
  • Provide necessary access to systems, accounts, and resources
  • Designate authorized representatives for decision-making

Content and Materials

You are responsible for:

  • Providing content, images, and materials in agreed formats
  • Ensuring you have rights to all provided materials
  • Content accuracy, legality, and appropriateness
  • Backup and security of your existing systems

Important: Delays in providing required information or approvals may result in project timeline adjustments and additional costs.

Project Process & Delivery

Project Phases

Our typical project workflow includes:

  • Discovery: Requirements analysis and project planning
  • Design: UI/UX design and technical architecture
  • Development: Coding and implementation
  • Testing: Quality assurance and bug fixes
  • Deployment: Launch and go-live support
  • Support: Post-launch maintenance (if contracted)

Deliverables and Acceptance

  • Deliverables will be provided according to agreed specifications
  • Client has 7 business days to review and provide feedback
  • Silence after review period constitutes acceptance
  • Major changes may require additional time and cost

Timeline and Milestones

  • Project timelines are estimates based on information provided
  • Timelines may be adjusted for scope changes or delays
  • Force majeure events may affect delivery schedules

Payment Terms

Payment Structure

Our standard payment terms include:

  • Project Deposit: 50% upfront before work begins
  • Milestone Payments: As defined in project agreement
  • Final Payment: Upon project completion and delivery
  • Monthly Retainers: For ongoing services (billed monthly)

Payment Methods

We accept the following payment methods:

  • Bank transfer (wire transfer)
  • PayPal and major credit cards
  • Cryptocurrency (for international clients)
  • Other methods as mutually agreed

Late Payments

  • Invoices are due within 15 days of issue date
  • Late fees of 1.5% per month may apply to overdue amounts
  • Work may be suspended for accounts 30+ days overdue
  • Collection costs may be added to outstanding balances

Intellectual Property

Client Ownership

Upon full payment, you will own:

  • Custom code developed specifically for your project
  • Unique designs and visual elements created for you
  • Project-specific documentation and materials
  • Data and content you provided or generated

INFITICS Retention

We retain rights to:

  • Pre-existing intellectual property and frameworks
  • Generic methodologies and development processes
  • Open-source libraries and third-party components
  • General knowledge and experience gained

Third-Party Components

Projects may include third-party components subject to their own licenses:

  • Open-source libraries and frameworks
  • Licensed fonts, images, or software
  • API integrations and services
  • Client is responsible for compliance with third-party licenses

Confidentiality

Mutual Confidentiality

Both parties agree to maintain confidentiality of:

  • Proprietary business information
  • Technical specifications and source code
  • Business strategies and plans
  • Customer data and personal information
  • Financial information and pricing

Permitted Disclosures

Confidential information may be disclosed when:

  • Required by law or court order
  • With written consent from the disclosing party
  • Information becomes publicly available through other means
  • Independently developed without using confidential information

Data Security

We implement appropriate security measures to protect confidential information and comply with applicable data protection laws.

Warranties & Disclaimers

Our Warranties

We warrant that our services will:

  • Be performed with professional skill and care
  • Conform to agreed specifications when delivered
  • Be free from material defects for 30 days post-delivery
  • Not infringe third-party intellectual property rights

Disclaimer of Other Warranties

Except as expressly stated, we provide services "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement.

Third-Party Services

We do not warrant third-party services, platforms, or components integrated into your project. Such services are subject to their own terms and warranties.

Limitation of Liability

Liability Limitations

Our total liability for any claims related to our services is limited to:

  • The amount paid by you for the specific service giving rise to the claim
  • Direct damages only (no indirect, consequential, or punitive damages)
  • Claims must be brought within one year of the incident

Excluded Damages

We are not liable for:

  • Loss of profits, revenue, or business opportunities
  • Data loss or corruption (unless caused by our negligence)
  • Third-party claims or actions
  • Force majeure events beyond our control
  • Client's failure to follow recommendations or instructions

Termination

Termination by Client

You may terminate our services:

  • With 30 days written notice for ongoing services
  • Immediately for material breach (after 15-day cure period)
  • For convenience (subject to payment for work completed)

Termination by INFITICS

We may terminate services for:

  • Non-payment after 30 days written notice
  • Material breach of terms by client
  • Illegal or unethical requests
  • Abusive or threatening behavior toward our team

Effect of Termination

Upon termination:

  • All outstanding invoices become immediately due
  • We will deliver completed work upon full payment
  • Confidentiality obligations continue
  • Each party returns confidential information

Dispute Resolution

Informal Resolution

Before formal proceedings, we encourage resolution through:

  • Direct communication between project stakeholders
  • Escalation to senior management
  • Good faith negotiation and compromise

Formal Procedures

If informal resolution fails:

  • Disputes will be resolved through binding arbitration
  • Arbitration will be conducted in Lahore, Pakistan
  • Pakistani law will govern these terms
  • Proceedings will be in English language

General Provisions

Modifications

These terms may be updated from time to time. Continued use of our services constitutes acceptance of revised terms.

Severability

If any provision is found unenforceable, the remaining provisions will continue in full force and effect.

Force Majeure

Neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, government actions, or global pandemics.

Entire Agreement

These terms, together with any signed project agreements, constitute the entire agreement between the parties.
